Terms of Service

1. Who we are and what these Terms cover

The Services are provided by CondeDynamics, SU, Lda ("CondeDynamics", "we", "us"), a company registered in Mozambique, tax ID (NUIT) 401 951 881, of Av. Eduardo Mondlane, Nampula, Mozambique.

These Terms cover:

• this website and the customer portal on it;
• Swift and Prime, in their Windows app and web app versions;
• the installation, training and support we provide with them.

"You" means the business or school that is our client (the "Client") and, where the context requires, each person who uses the Services on the Client's behalf (an "Authorised User"). If you accept these Terms for a business or school, you confirm that you are allowed to bind it.

2. Getting started: demo, agreement, installation

Our usual path is a demo led by one of our agents, a signed Service Agreement, then installation and training at your premises. When the installation is finished we record it in a Handover Certificate, and the owner sets their own private password, replacing any temporary setup password.

A business or school can also be created through the customer portal on this website. However it is set up, the plan, price, term and any free-trial or evaluation period that apply to you are the ones stated in your Service Agreement or order confirmation. When a trial ends, the Service continues only on a paid plan.

Demonstrations are run by our agents on demonstration systems that contain only fictional data. We do not give prospects logins to demonstration systems.

3. Plans and features

Swift and Prime are offered in Basic and Pro plans. Pro includes everything in Basic plus extra features. For example, Swift Pro adds stock recounts, warehouses and restock recommendations, and Prime Pro adds authorised pickups. The product pages describe each plan, and your Service Agreement states the plan you have.

We keep improving the Services and may change or retire features. If a change materially reduces what your plan includes, we will give you reasonable notice first.

Feature requests are welcome, but they are not commitments unless we add them to your Service Agreement in writing.

4. Fees and payment

The subscription fee is set in your Service Agreement and is invoiced in advance. Invoices are due within 7 days of the invoice date. Any taxes are shown on the invoice. Field services such as installations or stock-count visits are agreed with you beforehand and invoiced as agreed.

Official payment channels only. Pay only through the official channels given in your Service Agreement and on your invoices (mobile money or bank transfer to CondeDynamics). No CondeDynamics employee or field agent is authorised to collect payments. Money handed to an agent, or paid to any other number or account, is not a valid payment and we cannot credit it. We record every payment and confirm it to you.

We send a reminder 7 days before each invoice is due. If an invoice is still unpaid 14 days after its due date, we may suspend your access after a written warning sent by email. We restore access within one working day of full payment. Suspension does not pause your term or the fees you owe.

We may revise prices at renewal, with at least 30 days' written notice by email.

5. Our field agents and staff

Our agents visit by appointment, wear CondeDynamics identification and carry a badge with a number. You can check any agent's badge number inside Swift or Prime. The app shows the agent's name and photo if the badge belongs to a currently active agent, and refuses it otherwise.

Do not let anyone who says they represent us into your premises or systems without identification, and report them to us straight away through the contact details below.

Our staff will never :

• ask you for your password;
• collect payments from you;
• offer or perform private work related to the Services outside CondeDynamics.

If anyone asks you for any of these, refuse and report it to us.

6. Your accounts and users

You decide who can use the Services and with which role. Give each person their own login and only the access they need. Never share logins: what happens under an account is attributed to the Client.

Sign-in is handled by our central authentication service, which holds passwords in protected form. Keep your credentials confidential, tell us straight away if you suspect unauthorised access, and remove access when someone leaves your organisation.

7. Your data

Your data is yours. Everything you enter into the Services (sales, stock, customers, employees, pupils, fees, finances) belongs to you. We claim no ownership of it.

We will keep your data separate from other clients' data; access it only to provide and support the Services; keep regular backups; and not disclose it to anyone except with your written consent, where the law requires, or to the service providers listed in our Privacy Policy that help us run the Services.

You are responsible for having the right to record the data you enter, and for informing the people it concerns and, where the law requires, obtaining their consent. That includes customers and employees and, for schools, pupils and their parents or guardians. For personal data, you decide why and how it is used and we process it on your behalf, as explained in the Privacy Policy .

When your agreement ends you may ask us for an export of your data within 30 days of the end date. After that we may delete it. Backups are not a substitute for your own records, which you must keep as the law requires.

8. Using the Services properly

You agree to give us accurate information, use the Services lawfully, and keep the device and internet connection we describe at installation.

You agree not to:

• copy, resell, reverse-engineer or give third parties access to the Services;
• try to get around limits, roles or the separation between clients' data;
• upload malicious code or test our security without our written permission;
• use the Services to send unlawful, misleading or unwanted messages, or to harass anyone.

Swift and Prime can send SMS and email (for example receipts, reminders and fee notices). You are responsible for the content and recipients of those messages, and for having the right to contact the people you send them to.

9. Updates, availability and support

We release updates, and the desktop apps can update themselves when a new version is available. Keeping the apps updated is part of using the Services.

We work to keep the Services available, but we do not promise uninterrupted operation. We announce planned maintenance in advance where possible.

Report problems by the support phone or WhatsApp number on our contact page . We track every reported issue. During business hours ( 08:00–18:00 ) we respond within 2 hours to issues that stop you from selling or operating, and within 24 hours to other issues. These are response times, not repair times.

10. Third-party services

Some features depend on third parties, such as mobile-money payments, SMS and email delivery, and hosting. We choose them carefully and list them in the Privacy Policy , but we do not control their availability or fees.

In Prime, you can connect a mailbox so that Prime reads your bank's payment report emails and helps match deposits to fees. By connecting one you confirm that you are entitled to give that access.

11. Tax, accounting and legal compliance

Swift and Prime help you keep records, issue documents and calculate figures such as VAT, fees and payroll. They are tools, not professional advice. You remain responsible for your tax, accounting, payroll, education-authority and other legal obligations, for configuring rates and rules correctly, and for checking the figures and documents the Services produce. Whether a document satisfies a particular authority's requirements is for you to confirm.

12. Intellectual property

The Services, their software and designs, the names CondeDynamics, Swift and Prime and their logos, and all improvements belong to CondeDynamics. For the term of your agreement you get a limited, non-exclusive, non-transferable right to use the Services. No ownership is transferred. Your data stays yours.

If you suggest an idea or improvement, we may use it without obligation to you.

13. This website and downloads

Download installers only from the Downloads section of your account , and compare the checksum shown there. We are not responsible for copies obtained anywhere else.

Information you send through the website is used as described in the Privacy Policy . Do not send unlawful, false or harmful content. Product descriptions on the website are for information and may change; your Service Agreement governs what you receive.

14. Term, suspension and ending the agreement

Your Service Agreement runs for the term it states and renews automatically for the renewal periods it states, unless either of us gives written notice before renewal within the notice period it states.

We may end the agreement:

• with 7 days' notice, if invoices stay unpaid 30 days beyond a suspension;
• immediately, if you copy, resell, reverse-engineer or give third parties access to the Services.

You may end the agreement with 15 days' notice if we materially fail our obligations and do not fix the failure within 30 days of your written notice.

We may suspend access immediately when that is necessary to protect the security of the Services or of other clients, for example after a compromised account or unlawful use. We will tell you why as soon as we can.

Ending the agreement does not cancel amounts already owed. Your right to export your data (see "Your data") continues after the agreement ends.

15. Confidentiality

Each of us keeps the other's non-public information confidential and uses it only for the agreement, unless the law requires disclosure.

16. Liability

The Services are provided as described in your plan and Service Agreement. We do not promise that they will be error-free or uninterrupted.

Our total liability under the agreement is limited to the subscription fees you paid in the 12 months before the claim. Neither of us is liable for indirect or consequential losses, such as lost profit or lost sales. Nothing in these Terms limits liability that cannot be limited under the law.

We are not responsible for failures caused by events beyond our reasonable control, such as power or internet outages, failures of third-party services, acts of authorities or natural events. You are responsible for decisions you take using figures from the Services and for losses caused by sharing your credentials.

17. Changes to these Terms

We may update these Terms. We publish the new version here with its date. For material changes we will notify you by email or inside the Services at least 30 days before they apply to you, unless the law requires the change sooner. If you keep using the Services after that date, you accept the new Terms; if you do not agree, you may end the agreement as set out above.

18. Governing law and disputes

These Terms are governed by the local law of the country where you operate, as named in your Service Agreement. If we disagree, we will first try in good faith to settle it between us. If that fails, the competent courts of that country decide. If mandatory law where you operate gives you rights that cannot be excluded, those rights are not affected.

19. Language

These Terms are published in Portuguese, English and French. If the versions differ, the Portuguese version prevails.
